Item 9.01   Results of Operations and Financial Condition.

On February 25, 2005, FLYi, Inc. (NASDAQ/NM: FLYI) issued  a
news  release  concerning its fourth quarter and  full  year
2004 earnings. (See Exhibit 99 attached).
