                             INTRODUCTORY STATEMENT


This Amendment No. 2 (this  "Amendment")  amends the Tender Offer Statement (the
"Schedule TO") filed with the Securities and Exchange  Commission on January 31,
2002 and  Amendment  No. 1  thereto,  filed  with the  Securities  and  Exchange
Commission  on February  19,  2002,  relating to the issuer  tender offer by HCB
Bancshares,  Inc., an Oklahoma  corporation ("HCB Bancshares") to purchase up to
377,866 shares of its common stock, $0.01 par value per share (the "Shares"), at
a price not  greater  than  $14.75 nor less than  $12.75  per Share,  net to the
seller in cash,  without  interest  thereon,  upon the terms and  subject to the
conditions  set forth in the Offer to  Purchase,  dated  January  31,  2002,  as
amended (the "Offer to  Purchase"),  and in the related  Letter of  Transmittal,
which together with the Offer to Purchase, constitute the Offer.

This  Amendment  amends  Section 12 to attach (i) a press release dated February
25, 2002 related to the Offer as Exhibit 99(a)(5)(B) and (ii) an Amended Form of
Offer to Purchase dated January 31, 2002 to Exhibit 99(a)(1)(A).
