Explanatory Note:
This Amendment No. 1 to Form 8-K (this "Amendment") is hereby filed to correct
the transposition of certain numbers in GTECH Holdings Corporation's ("GTECH's")
fiscal year Consolidated Income Statements included in the Form 8-K filed by
GTECH on April 10, 2003 (the "Original Filing"), and to conform such numbers to
the numbers reflected in GTECH's April 10, 2003 press release. The numbers
affected are in the lines on the fiscal year Consolidated Income Statements
pages captioned "Costs and expenses: ... Costs of sales", and "Other income
(expense): ... Other income (expense)" and in the line immediately before the
line captioned "Income before income taxes".
As required under applicable Securities and Exchange Commission rules, this
Amendment sets forth the complete text of Item 12, "Results of Operations and
Financial Condition", as amended. The information contained in the Original
Filing, apart from the amendments identified above, is not amended hereby, and
is as set forth in the Original Filing. This Amendment continues to speak as of
the date of the Original Filing, and GTECH has not updated the disclosure in
this Amendment to speak as of any later date.
