State below in reasonable detail the reasons why Form 10-K and Form 10-KSB,
20-F, 11-K, 10-Q and Form 10-QSB, N-SAR, or the transition report or portion
thereof could not be filed within the prescribed period.

         Western Media Group Corporation (the "Company") acquired Med-Link USA,
Inc. ("Med-Link") on January 1, 2002. The Company's auditors immediately began
work on the necessary audit of Med-Link, but has been unable to complete their
audit due to the following unforeseen problems:

1.       Med-Link's internal accountant's computer system crashed causing the
         loss of most of Med-Link's internal financial data. Attempts to recover
         the data have failed. Accordingly, Med-Link is in the process of
         re-creating most of its books and records.

2.       Many of the Company's auditor's audit functions cannot be performed
         until Med-Link can re-create its books and records.

3.       The Company's auditor is in the process of obtaining certain stock
         ownership and loan documents which are necessary for the completion of
         the audit.
