The Registrant has only two executive officers, both of whom have had
to devote their full time to the Registrant's business operations, which delayed
their ability to address the preparation of the Registrant's Form 10-KSB.

GENERAL INSTRUCTIONS

Rules and Regulations under the Securities Exchange Act of 1934.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in
