ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On February 11, 2005, Ameriana Bancorp (the "Company"), the holding
company for Ameriana Bank and Trust, announced that it had received a previously
announced settlement of $2.3 million that had been held in escrow. The Company
also announced its financial results for the three months and year ended
December 31, 2004. For more information, reference is made to the Company's
press release dated February 11, 2005, a copy of which is attached to this
Report as Exhibit 99.1 and is furnished herewith.
