ITEM 8.01   OTHER EVENTS

         On July 21, 2005, Central Bancorp, Inc. (the "Company") announced that
its Board of Directors increased the Company's regular quarterly cash dividend
by 50% to eighteen ($0.18) cents per share, payable on August 19, 2005, to
stockholders of record as of August 5, 2005. For further information see the
Company's press release dated July 21, 2005, which is incorporated herein by
reference and is filed herewith as Exhibit 99.
