ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On July 19, 2006, PVF Capital Corp. (the "Company") announced its
unaudited financial results for the quarter and fiscal year ended June 30, 2006.
For more information, reference is made to the Company's press release dated,
July 19, 2006, a copy of which is attached to this Report as Exhibit 99 and is
furnished herewith.
ITEM 8.01 OTHER EVENTS
On June 27, 2006, the Board of Directors of the Company declared a
quarterly cash dividend on the Company's outstanding common stock. The cash
dividend will be in the amount of $0.074 per share payable on August 11, 2006 to
the stockholders of record at the close of business on July 28, 2006. On July
19, 2006, the Company also announced that its Annual Meeting of Stockholders
will be held on October 23, 2006 at 10:00 a.m. at the Company's Corporate
Center, 30000 Aurora Road, Solon, Ohio. For further information, see the
Company's press release dated July 19, 2006, which is incorporated herein by
reference and is filed herewith as Exhibit 99.
