On January 16, 2008, Naugatuck Valley Financial Corporation (the
"Company") issued a press release announcing (i) the declaration of a cash
dividend for the quarter ended December 31, 2007, of $0.05 per share to
stockholders of record on February 4, 2008, with a payment date on or around
March 1, 2008 and (ii) that the Company's Annual Meeting of Stockholders will be
held on May 8, 2008. For more information, reference is made to the press
release dated January 16, 2008, a copy of which is attached to this Report as
Exhibit 99.1 and is furnished herewith.
