Joseph Fischer, who currently serves on the Board of Directors and on the Audit
Committee, has determined not to seek reelection as a director and will cease to
serve as a director as of June 7, 2007, the date of the Registrant's Annual
Meeting. A successor to Mr. Fischer will be appointed at a later date.
