ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.
(b) On February 28, 2005, Denis A. O'Connor tendered his resignation as
our Senior Vice President, Sales, Marketing and Service to accept a Chief
Executive Officer position with a publicly-traded medical device company. His
resignation is effective March 11, 2005. We intend to replace Mr. O'Connor with
another experienced medical device industry executive.
