The Registrant has not yet completed certain analyses necessary to
complete the Registrant's financial statements for its fiscal year ended June
30, 2001. As a result, the independent auditors of the Registrant have not yet
completed their audit of the Registrant's consolidated financial statements for
the fiscal year ended June 30, 2001.
