OTHER EVENTS On January 17, 2002, Scholastic Corporation (the "Company") entered into a Terms Agreement attached hereto as Exhibit 1.1 relating to a public offering of $300 million aggregate principal amount of its 5 3/4% Notes due January 15, 2007 (the "Notes") under its Registration Statement on Form S-3 (no. 333-55238), filed with the Securities and Exchange Commission on February 8, 2001, a prospectus dated February 28, 2001 and the related prospectus supplement dated January 17, 2002. The Notes will bear interest at 5 3/4% and will mature on January 15, 2007. The general terms and conditions of the Notes and related matters are set forth in the Senior Debt Indenture dated January 18, 2002 between the Company and Citibank, N.A., as Trustee, which agreement is filed as Exhibit 4.1 hereto.
