Dexter has proposed to the Life Technologies' Board of Directors that it acquire the approximately 11.3 million shares of Life Technologies it does not currently own at a price of $37 per share in cash, or approximately $420 million, net, excluding payment for exercisable stock options. The acquisition of the publicly owned shares of Life Technologies offers its shareholders an 18% premium over the July 6, 1998 closing price. The offer will be financed through Dexter's available cash and a committed credit facility arranged by First Chicago Capital Markets, Inc. The proposal is subject to the approval of Life Technologies' Board of Directors. Life Technologies' Board of Directors has formed a special independent committee to consider the proposal.
