The Registrant's Annual Report on Form 10-K for the fiscal year ended December
31, 2002 could not be filed within the prescribed time period due to a delay in
completion of its financial statements, which delay could not be eliminated by
the Company without unreasonable effort and expense.

Explanation:
The Registrant expects to report net sales for its 2002 fiscal year of
approximately $25.5 million, as compared to $52,362,000 for its 2001 fiscal
year. This decline in net sales, along with, among other things, deteriorating
pricing conditions, resulted in reduced financial performance. The Registrant
expects to report net income (loss) for its 2002 fiscal year of approximately
($23 million), including approximately $6.5 million of restructuring costs,
writedowns of inventory, patents and goodwill, and approximately $4 million of
foreign exchange losses, as compared to net income for its 2001 fiscal year of
$480,000. The aforementioned anticipated financial results are subject to change
between the date hereof and the date the Registrant's annual report on Form 10-K
is filed.
