The Pooling and Servicing Agreement governs the Banc of America Commercial Mortgage Inc. Commercial Mortgage Pass-Through Certificates, Series 2004-3 (the "Certificates"), including the Class A-1, Class A-2, Class A-3, Class A-4, Class A-5, Class B, Class C, Class D and Class E Certificates (the "Publicly Offered Certificates"), which were issued on July 14, 2004 with an aggregate principal balance as of July 1, 2004 of $782,927,364. The Publicly Offered Certificates were sold to Banc of America Securities LLC ("BAS"), Bear, Stearns & Co. Inc. ("Bear"), and Goldman, Sachs & Co. ("Goldman Sachs") pursuant to an Underwriting Agreement, dated June 30, 2004, among BAS, Bear, and Goldman Sachs, as underwriters, and the Company.
