     On April 23, 2004, Webster City Federal Bancorp (the "Company") announced a
cash dividend for the first quarter of 2004. A copy of the press release dated
April 23, 2004, announcing the dividend for the first quarter of 2004 is
attached as Exhibit 99 to this report.
