Item 5. Other Events.
On November 16, 2000, the Company issued a press release announcing (i) the
postponement of its annual meeting of stockholders originally scheduled for
November 17, 2000 and (ii) updated information on its investigation of
accounting irregularities at the Pennsylvania Foundry Group, a unit of three
foundries of Atchison Casting Corporation in Pennsylvania. A copy of the press
release announcing these events is attached as Exhibit 99.1 hereto and
incorporated herein by reference.
