 Item 2.02  Results of Operation and Financial Condition.

      On December 9, 2004, United Financial Mortgage Corp. (Amex: UFM or the
 "Company") issued a press release regarding the Company's earnings for the
 second quarter and six months that ended on October 31, 2004.  A copy of the
 press release is attached hereto as Exhibit 99.1.
