      United Financial Mortgage Corp. (the "Company") signed a definitive
 agreement on Tuesday, December 14, 2004  to acquire Plus Funding based in
 Carlsbad, California. A copy of the Company's press release is attached to
 this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein
 solely for purposes of this Item 7.01.

      The information under Item 7.01 of this Current Report on Form 8-K,
