Dated: UNITED STATES TRUST COMPANY OF NEW YORK, as Trustee By___________________________ Authorized Signatory This Note is one of a duly authorized issue of debentures, notes, bonds, or other evidences of indebtedness of the Company (hereinafter called the "Securities") of the series hereinafter specified, all issued or to be issued under and pursuant to an Indenture dated as of January 15, 2001, between the Company and United States Trust Company of New York, as trustee (the "Trustee," which term includes any successor trustee under the Indenture with respect to the series of Securities of which this Note is a part) (such Indenture, the "Shelf Indenture") as supplemented by the First Supplemental Indenture dated as of January 15, 2001, between the Company and the Trustee (the "First Supplemental Indenture"), duly executed and delivered by the Company to the Trustee. The Shelf Indenture, as supplemented by the First Supplemental Indenture and by any other indentures supplemental thereto that are applicable to the Notes, is referred to herein as the "Indenture." This Note is one of a duly authorized issue of Notes of the Company designated as its 11 3/8% Senior Notes due January 1, 2009 (the "Notes") issued under the Indenture. The Notes are limited in aggregate principal amount to $750,000,000. Article Fourteen of the Shelf Indenture contains provisions for defeasance at any time of (i) the entire indebtedness of this Note, or (ii) certain restrictive covenants and Events of Default with respect to this Note, in each case upon compliance with certain conditions set forth therein. Such Article Fourteen, as modified by Section 1.18 of the First Supplemental Indenture, shall apply to the Notes. The Indenture permits, with certain exceptions as therein provided, the amendment thereof and the modification of the rights and obligations of the Company and the rights of the Holders of the Notes under the Indenture at any time by the Company and the Trustee with the consent of the Holders of a majority in aggregate principal amount of the Notes at the time outstanding. The Indenture also contains provisions permitting the Holders of specified percentages in aggregate principal amount of the Notes at the time outstanding, on behalf of the Holders of all the Notes, to waive compliance by the Company with certain provisions of the Indenture and certain past defaults under the Indenture and their consequences. Any such consent or waiver by the Holder of this Note shall be conclusive and binding upon such Holder and upon all future Holders of this Note and of any Note issued upon the registration of transfer hereof or in exchange herefor or in lieu hereof, whether or not notation of such consent or waiver is made upon this Note. As provided in the Indenture and subject to certain limitations therein set forth, Notes are exchangeable for a like tenor and aggregate principal amount of Notes of a different authorized denomination, as requested by the Holder surrendering the same. No service charge shall be made for any such registration of transfer or exchange, but the Company may require payment of a sum sufficient to cover any tax or other governmental charge payable in connection therewith. Prior to due presentment of this Note for registration of transfer, the Company, the Trustee and any agent of the Company or the Trustee may treat the Person in whose name this Note is registered as the owner hereof for all purposes, whether or not this Note be overdue, and neither the Company, the Trustee nor any such agent shall be affected by notice to the contrary.
