Based upon the foregoing and subject to the limitations and qualifications set forth herein, we are of the opinion that the 500,000 Common Shares offered pursuant to the Registration Statement have been duly allotted and reserved by the Board of Directors of the Company for issuance in connection with the Stock Purchase Plan and, when the consideration therefor is paid to the Company in accordance with the terms of the Stock Purchase Plan, that the Common Shares issued to the persons so paying such consideration will be duly authorized, validly issued, fully paid and nonassessable. We are members of the bar of the State of New York and, accordingly, we express no opinion as to the effect of the laws of any jurisdiction other than the Federal laws of the United States of America and the laws of the State of New York upon the matters referred to herein, in each case as such laws are in effect on the date hereof.
