The Company is in discussion with a number of claimants regarding
alleged registration rights violations. As a settlement of these issues is
pending and the results of the settlements will most likely affect the Company's
financial results for the year ended June 30, 2001, the Company requests
additional time to complete the settlements and record the results in its Form
10K.
