State below in reasonable detail the reasons why Forms 10-KSB, 20-F, 11-K, 10-Q,
N-SAR, or the transition  report or portion  thereof,  could not be filed within
the prescribed time period.

         As  disclosed in a current  report on Form 8K filed  November 12, 2002,
         the Company's  independent  accountant resigned,  and a new independent
         accountant  was  engaged.  The Company  requires  more time to file its
         quarterly  report in order to enable its new independent  accountant to
         review the filing.
