As a result of this transaction, the Company is in the process of completing the accounting for the impact of Statement of Financial Accounting Standards No. 121, "Accounting for the Impairment of Long-Lived Assets and for Long-Lived Assets to be Disposed Of," as it relates to the registrant's financial statements for the period ended September 30, 1996. The registrant anticipates a write-down of intangible assets of approximately $23,500,000 during the three and nine month periods ended September 30, 1996, as compared to the same periods in the prior year.
