Item 5.02(b) Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers.
On November 7, 2007, Bob Whelton, Executive Vice President, Operations, for
Micrel Incorporated, informed the Company of his intention to retire effective
December 1, 2007.
Mr. Whelton has served in his present position since joining the Company in
December 1997.
