(the "Company") acquired the Vibration Attenuation Division of Holset Engineering, Ltd., a subsidiary of Cummins Engine Company, Inc. ("VA Division") for a payment of $73,500,000. The purchase price was financed from borrowings under the Company's credit agreement. For financial reporting purposes, the VA Divisions acquisition will be accounted for using the purchase method in accordance with generally accepted accounting principles. A copy of the Purchase Agreement is filed herewith as Exhibit 2.1 and a copy of the press release issued by the Company regarding the VA Division acquisition is filed herewith as Exhibit 99. Both of these exhibits are incorporated by reference herein.
