Item 3.03   Material Modification to Rights of Security Holders

On July 1, 2008, the Board of Directors of ES Bancshares,  Inc. (the  "Company")
issued a press release  announcing  that effective June 30, 2008, it had reduced
the exercise price of its Common Stock  Purchase  Warrants from $10 per share to
$6.75. Also effective June 30, 2008, the Board reduced the exercise price of the
Company's  Organizer  Warrants  from $10.00 per share to $6.75 until October 31,
2008, after which time the exercise price will revert to $10.00.

The Board had previously  announced  that the  expiration  date of the Company's
Common Stock  Purchase  Warrants was extended  from June 28, 2008 to October 31,
2008. The expiration date of June 28, 2009 for the Company's  Organizer Warrants
remains unchanged.
