On September 12, 2008, Portec Rail Products, Inc. issued a press release
announcing the declaration of a quarterly cash dividend of $0.06 per share. The
cash dividend will be paid on September 30, 2008 to shareholders of record on
September 22, 2008. A copy of the press release announcing the dividend is
attached as Exhibit 99.1 to this report.
