On January 15, 2010, OmniAmerican Bancorp, Inc. ("the Company") issued a
press release announcing that its conversion and stock offering was approved by
the members of OmniAmerican Bank. On January 21, 2010, the Company issued a
press release that the conversion and stock offering closed on January 20, 2010
with the Company's initial subscription offering having sold 11,902,500 shares
of common stock at $10.00 per share generating gross proceeds of $119,025,000.
Trading in the Company's shares of common stock began on the Nasdaq Global
Market on January 21, 2010. The press release dated January 15, 2010 is filed as
Exhibit 99.1 to this Current Report on Form 8-K. The press release dated January
21, 2010 is filed as Exhibit 99.2 to this Current Report on Form 8-K.
