On September 16, 1996, Capitol Communities Corporation (the "Company") filed a Registration Statement on Form 10-SB. Comments regarding the Company's Form 10-SB were issued by the Securities and Exchange Commission (the "SEC") on November 15, 1996. The Company's fiscal year ended September 30, 1996, making it an unreasonable burden and expense to respond to the SEC comment letter and prepare its Annual Report on Form 10-KSB by December 31, 1996. The Company intends to file its Annual Report on Form 10-KSB by no later than January 15, 1997. During the year ended September 30, 1996, the Company significantly changed the nature of its business activities from land sales to real estate development. Due to this change the Company anticipates there will be a significant change in results of operations from the year ended September 30, 1995. The Company expects a loss for the year ended September 30, 1996 of approximately $1,378,000 compared with a loss of $885,918 for the year ended September 30, 1995.
