[X] Yes [_] No (3) Is it anticipated that any significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in the subject report or portion thereof? [X] Yes [_] No If so: attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made. We expect revenues to increase approximately four fold from $44,736 in 1999 to $226,209 in 2000 due almost entirely to a single continuing sales contract which commenced late in the prior year. We expect to report a loss for the year of approximately $2,110,000 in 2000 as compared to a loss of $524,377 for the last fiscal year. The principle reason for the increased loss is the non-operational bookkeeping adjustment respecting the below market issuances of options and warrants in the total amount of approximately $1,049,000. However, technology expense more than doubled from $274,428 in 1999 to $594,974 in 2000 reflecting the Company's emphasis on technology research and development. Also, legal expense increased from $21,072 in 1999 to $226,415 in 2000 primarily attributable to securities law matters arising from the Company's registration with the Securities and Exchange Commission and required compliance with Federal Securities Laws.
