Item 1.01   Entry into a Material Definitive Agreement.

On December 1, 2005, the Board of Directors of eGames, Inc. (the "Company")
approved the grant of non-qualified stock options to purchase 50,000 shares of
the Company's Common Stock to each of its non-employee directors. The options
have an exercise price per share of $0.31, the closing price of the Company's
stock on the date of grant, and have ten-year terms. The options vest in equal
installments on the first, second and third anniversary of the date of grant.
