The Registrant only recently phased-into the EDGAR filing requirements. Due
to problems caused by converting the Registrant's financial statements for
filing on the EDGAR system, the Registrant encountered a delay in finalizing
its Form 10-QSB, and as a result the report will not be filed by the current
due date.
