State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Registrant transmitted its Form 10-QSB via the EDGAR System on May 15,
1996. However, at some point during the transmission, the filing agent's
modem discontinued the transmission. The fact that the entire transmission
had not been completed was not discovered until May 16, 1996, and the entire
Form 10-QSB is being resubmitted herewith.
