PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
In July 1996, the Registrant appointed a new auditor, and it took longer than
anticipated to complete the changes to the financial statements requested by
the new auditors. The new auditor signed its report on the financial
statements late in the afternoon of September 30, 1996, and the Registrant did
not have sufficient time to complete the Form 10-K submission on time. The
Form 10-K has now been filed, one day late.
