State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
For the past several months the Registrant has been engaged in negotiations
with a third party regarding a significant debt financing which was only
recently consummated. Because of its limited staff and a perceived need to
consummate the financing for business reasons, the Registrant was not able to
complete the subject report within the time period specified.
