Dear Sir or Madam:

On May 19, 1995, Aetna Life Insurance and Annuity Company filed
Post-Effective Amendment No. 4 on Form N-4, SEC File No. 33-75976, in
connection with the offer of certain variable annuities.  We hereby request
withdrawal of such Post-Effective Amendment pursuant to Rule 477 promulgated
under the Securities Act of 1933, as amended (the "1933 Act"). 

This post-effective amendment was filed in order to make changes to an
existing prospectus so that the prospectus could be used for new business
opportunities in connection with certain Optional Retirement Plans.  However,
changes were recently made to another registration statement of Registrant
prior to effectiveness (File No. 33-91846) so that such new business
opportunities could be accommodated under that registration.  This
post-effective amendment is therefore not required and it is requested that it
be withdrawn.
