4.  Changes in Registrant's Certifying Accountant.

         On January 22, 1998 the Company dismissed Want & Ender CPA, P.C., 37
East 28th Street, New York, NY 10016, its independent accountant. That the
dismissal was approved by the Company's Board of Directors.

         That the principal accountant's report on the financial statements for
the past two years, 1996 and 1995, was modified for the uncertainty of a
development stage company as well as a going concern.

         There were no disagreements with the former accountants on any matter
of accounting principles or practices, financial statement disclosure, or
auditing scope or procedure, which, if not resolved to the former accountant's
satisfaction, would have caused it to make reference to the subject matter of
the diagreement(s) in connectin with its report.
