EXPLANATORY NOTE This amendment on Form 10-Q/A adds Item 4 to Part I of the Quarterly Report of Workstream Inc. (the "Company") on Form 10-Q previously filed for the quarter ended August 31, 2002. Together these two filings constitute the Quarterly Report of the Company for the quarter ended August 31, 2002 and are referred to herein as the "quarterly report." ITEM 4. CONTROLS AND PROCEDURES. Within the 90-day period prior to the filing of this quarterly report, an evaluation was carried out under the supervision and with the participation of the Company's Chief Executive Officer and Chief Financial Officer of the effectiveness of the Company's disclosure controls and procedures. Based on that evaluation, the Chief Executive Officer and Chief Financial Officer have concluded that the Company's disclosure controls and procedures are effective to ensure that information required to be disclosed by the Company in reports that it files or submits under the Securities Exchange Act of 1934 is recorded, processed, summarized and reported within the time periods specified in the Securities and Exchange Commission rules and forms.
