ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF OFFICERS;
          APPOINTMENT OF PRINCIPAL OFFICERS

         On June 14, 2005 Daniel Taylor, our President, and Shawn Taylor, our
Chief Financial Officer, resigned. Following these resignations, our Board of
Directors, appointed Christopher Schwartz, our Chief Executive Officer, to the
position of Chief Financial Officer and President, effective immediately. Mr.
Schwartz served as our Chief Financial Officer prior to Shawn Taylor's
appointment as Chief Financial Officer in November 2004.
