ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

         On December 8, 2005, Toll Brothers, Inc. issued a press release which
contained Toll Brothers, Inc.'s results of operations for its twelve-month and
three-month periods ended October 31, 2005 and 2004, a copy of which release is
attached hereto as Exhibit 99.1 to this report.

         The information hereunder shall not be deemed to be "filed" for the
purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange
Act") or otherwise subject to the liabilities of that section, nor shall it be
incorporated by reference into a filing under the Securities Act of 1933, or the
Exchange Act, except as shall be expressly set forth by specific reference in

ITEM 7.01.  REGULATION FD DISCLOSURE

         On December 8, 2005, Toll Brothers, Inc. will host a conference call
for investors to discuss the results of operations for its twelve-month and
three-month periods ended October 31, 2005, and to discuss the expected results
of operations for the fiscal year ending October 31, 2006.

            A summary of the guidance to be given for its expected results of
operations for the fiscal year ending October 31, 2006 is attached hereto as
Exhibit 99.2 to this report.
