Part IV (3)

         The Registrant does not anticipate that any significant change in
results of operations from the fiscal quarter ended November 30, 2000 will be
reflected by the earnings statements to be included in the November 30, 2001
Form 10-QSB. As previously reported on SEC Form 8-K, for an event of February 1,
2001, the Registrant acquired e-commerce support services, inc. and discontinued
its prior operating business segment. Accordingly, the prior years' results of
operations will be reflected as discontinued operations and the current results
of operations will cover the e-commerce support services, inc. results since the
acquisition in the November 30, 2001 financial statements.
