WE HAVE BEEN UNABLE TO COMPLETE OUR FINANCIAL STATEMENTS BECAUSE THE FINAL
ADJUSTED STATEMENTS FROM THE TRUSTEE FOR THE TXU THRIFT PLAN, INTO WHICH THE TXU
ENSAVE PLAN WAS MERGED DECEMBER 31, 2001, WERE NOT RECEIVED BEFORE THE FILING
DUE DATE.
