The company hereby reports that the controlling shareholder, ICC group, has
notified of its intention to issue a full tender offer of the company's shares,
at a price of NIS 0.45 for each ordinary share of NIS 1 nominal value.
The complete wording of the tender offer will be published in a few weeks, in
accordance with the regulations pertaining to the company's shares which are
traded in Israel and are registered in the USA.
