On October 7, 2004, Telecom Communications, Inc. (the "Company") entered into a Stock Purchase Agreement (the "Purchase Agreement") with Taikang Capital Managements Corporation ("Taikang"), an affiliate of the Company, for the purchase of 10,000,000 shares ("Shares") of the Company's common stock, par value $.001 per share (the "Common Stock"). The Shares were purchased with cash for an aggregate purchase price of $2,000,000. The Shares were offered and sold in a private placement transaction in reliance upon an exemption from registration under the Securities Act of 1933, as amended (the "Act"), pursuant to Rule 506 promulgated thereunder. The shares were offered and sold to an "accredited investor," as such term is defined in Rule 501 under the Act. The Shares are restricted securities that have not been registered under the Act and may not be offered or sold in the United States absent registration or applicable exemptions and satisfaction of registration requirements. The Company has not undertaken the obligation to file a registration statement for said Shares.
