Item 5.  Other Events.

         On October 12, 2000, the Registrant issued a press release announcing
that it has recently received inquiries from several companies which are
interested in discussing an acquisition of the Registrant. The Board of
Directors has retained Chase H&Q as its investment banker to assist in
evaluating acquisition proposals as well as the Registrant's strategic options.
The Registrant's press release regarding such inquiries is attached hereto as
Exhibit 99.1
