Check the following box if the filing is a final amendment reporting the results of the tender offer: [X] ================================================================================ INTRODUCTORY STATEMENT This Amendment No. 3 to Schedule TO amends and supplements the Tender Offer Statement on Schedule TO ("Schedule TO") filed with the Securities and Exchange Commission on October 28, 2002, as amended by Amendment No. 1 to Schedule TO filed with the Securities and Exchange Commission on November 12, 2002 and Amendment No. 2 to Schedule TO filed with the Securities and Exchange Commission on November 26, 2002, relating to the offer by Caminus Corporation, a Delaware corporation (the "Company"), to exchange certain options to purchase shares of the Company's common stock, par value $.01 per share ("Common Stock"), held by eligible option holders for new options to purchase shares of Common Stock upon the terms and subject to the conditions set forth in the Offer to Exchange, dated October 28, 2002. This Amendment No. 3 is being filed to report the final results of the Company's offer. ITEM 4. TERMS OF THE TRANSACTION Item 4 of the Schedule TO is hereby amended and supplemented to add the following: The offer made by the Company pursuant to the Schedule TO expired at 5:00 p.m., Eastern Standard Time, on December 13, 2002. Pursuant to the Offer to Exchange, the Company accepted for cancellation options to purchase 1,564,422 shares of Common Stock, representing approximately 98% of the options that were eligible to be tendered for exchange pursuant to the Offer to Exchange. Subject to the terms and conditions of the Offer to Exchange, the Company will grant new options to purchase an aggregate of 1,564,422 shares of Common Stock in exchange for those options the Company accepted for exchange.
