ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On July 27, 2004, the registrant issued a press release reporting its financial
results for the six months ended June 30, 2004 and announcing the declaration
of a cash dividend to all shareholders of record as of the close of business
August 6, 2004. A copy of the press release is attached hereto as Exhibit 99.1
to this Current Report on Form 8-K.
