APPOINTMENT OF PRINCIPAL OFFICERS.
On September 21, 2004, Citigroup Inc. filed a Form 8-K reporting under Item 5.02
thereto that Anne Mulcahy and Judith Rodin had been elected to the Citigroup
Board of Directors.
Citigroup is filing this Form 8-K/A to report that on October 19, 2004, the
Citigroup Board of Directors appointed Judith Rodin to the Audit Committee.
